Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kore Business platform and related services provided by Kore Business Limited ("Kore", "we", "us"). By subscribing to or using our Services, you agree to these Terms.

1. The Services

Kore provides cloud-based business management software including payroll processing, HR management, CRM, and ERP functionality (the "Platform"). We grant you a non-exclusive, non-transferable, revocable licence to access the Platform during your subscription period, subject to these Terms.

2. Account and eligibility

You must be aged 18 or over and have the authority to enter into this agreement on behalf of your business. You are responsible for maintaining the security of your login credentials and for all activity under your account.

3. Subscription and payment

Subscriptions are billed monthly in advance. Per-employee/user charges are billed in arrears based on usage during the billing period. All prices are exclusive of VAT. Payment is processed via Stripe. You authorise us to charge your payment method on each renewal date.

Free trial: The 14-day free trial period begins from account activation. No payment is taken during the trial. If you do not add a payment method before the trial ends, your account will be suspended.

Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

4. Acceptable use

You agree not to: (a) use the Platform for unlawful purposes; (b) submit false or misleading payroll data; (c) attempt to gain unauthorised access to our systems; (d) resell or sub-licence the Platform without our written consent; (e) use the Platform in a way that degrades service for other users.

5. Data and privacy

You retain ownership of all data you input into the Platform. You grant us a licence to process that data solely to provide the Services. Our Privacy Policy and Data Processing Agreement govern how we handle personal data. You are responsible for ensuring you have the appropriate legal basis to provide employee and customer data to us.

6. HMRC and compliance

Kore Payroll automates RTI submissions to HMRC on your behalf. You remain legally responsible as the employer for the accuracy of payroll data submitted, compliance with employment law, and any resulting tax or NIC liabilities. Kore is not a registered tax adviser.

7. Service availability

We target 99.9% uptime. Scheduled maintenance will be notified in advance. We are not liable for downtime caused by third-party services (HMRC, banking networks, Stripe) or events beyond our reasonable control. Our liability for service interruption is limited to a credit against future subscription fees.

8. Intellectual property

All software, designs, and documentation comprising the Platform are owned by Kore Business Limited or our licensors. Nothing in these Terms transfers any IP rights to you.

9. Limitation of liability

To the maximum extent permitted by law: (a) our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim; (b) we are not liable for indirect, consequential, or special damages, loss of profit, or loss of data. Nothing limits liability for fraud, death, or personal injury caused by negligence.

10. Termination

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if required by law. On termination, your right to use the Platform ceases. We will make your data available for export for 30 days following termination, after which it will be securely deleted.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these Terms

We may update these Terms. We will give 30 days' notice of material changes by email. Continued use of the Services after that notice period constitutes acceptance of the updated Terms.
